These terms of use establish a legally binding agreement (referred to as the "Agreement" or "Terms of Use") between you and Chizzy Ride ("Chizzy Ride," "we," "us," or "our") that governs your usage of the Chizzy Ride application and/or website. This Agreement applies to all users. Throughout this Agreement, the terms "you," "your," and "yourself" refer to all users, unless specifically stated otherwise.

1. Terms of Use

1.1 IMPORTANT: By utilizing the Chizzy Ride application and/or websites (referred to as the "Service"), you acknowledge that you have thoroughly read, comprehended, accepted, and agreed to abide by these terms and conditions. Furthermore, you confirm your agreement with the statements provided below. In the event that you do not consent to or fall under the purview of the Service's terms of use and/or wish to cease using the Service, kindly refrain from continuing to utilize this Service.

1.2 The Terms of Use outlined in this document establish a legally binding agreement between you and Chizzy Ride, along with its subsidiaries and affiliates. To utilize the Service, you must consent to the Terms of Use presented below. By using the mobile application and websites provided by Chizzy Ride (referred to as the "Application" or "App"), and by downloading, installing, or using any associated software provided by Chizzy Ride (referred to as the "Software"), you explicitly acknowledge and agree to be bound by the Terms of Use, as well as any future amendments and additions to these Terms of Use that may be published periodically through the Application. By installing Chizzy Ride on your mobile device or computer, you unconditionally accept all the regulations, conditions, and information posted within the Chizzy Ride Application itself and on the website. This includes, but is not limited to, the following: these Terms of Use, the privacy policy, customized service Terms of Use specific to Chizzy Ride, as well as the rules specified within the Application.

1.3. Please note that Chizzy Ride may change any part of these Terms of Use at any time. When Chizzy Ride does that, it will provide you with reasonable notice and your continued use of the Application and/or the Services after the notice period will constitute your acceptance of the updated Terms of Use. You agree that it shall be your responsibility to review the Terms of Use regularly and also the Terms of Use.

2. Eligibility for Use

2.1 By utilizing the Service, you explicitly declare and guarantee that you have the legal right to accept and agree to the Terms of Use, and that you are at least eighteen (18) years of age. It should be noted that the Service is not accessible to individuals who, for any reason, are prohibited from entering into a contractual relationship. Additionally, by using the Service, you further affirm and assure that you possess the proper rights, authority, and capacity to utilize the Service and adhere to the Terms of Use. Furthermore, you acknowledge that all the information provided to Chizzy Ride will be truthful and accurate. You assure that your use of the Service is solely for your personal use and undertake not to permit others to utilize your identity or user status. Moreover, you may not transfer or assign your user account to any other individual or entity. When utilizing the Service, you agree to comply with all applicable laws, regardless of the state or city in which you are situated during your use of the Service.

2.2 You may only access the Service using authorized means. It is your responsibility to check and ensure that you have downloaded the correct Software for your device. Chizzy Ride is not liable if you do not have a compatible device or if you have downloaded the wrong version of the Software to your device. Chizzy Ride reserves the right not to permit you to use the Service should you use the Application and/or the Software with an incompatible or unauthorized device or for purposes other than which the Software and/or the Application is intended to be used.

2.3 If you are a service provider, you also confirm and guarantee that you maintain a valid license and possess all necessary licenses, approvals, qualifications, and certificates at all times. As a driver, it is your responsibility to promptly inform Chizzy Ride if you no longer hold any of the aforementioned licenses, approvals, qualifications, or certificates.

3. Prices and Payments

3.1 The responsibility of covering the cost of services provided lies with the users of the Chizzy Ride App. Payment can only be made through the users' prefunded in-app wallet. It is important to note that if a user does not have sufficient balance in their wallet, they will be unable to book a trip.

3.2 Each ride's payment will be computed using the fare set by Chizzy Ride. To facilitate the payment process, users are required to prefund their in-app wallets. We reserve the authority to deduct the total fare amount, along with any extra fees or charges, directly from the user's wallet. These payments will be debited prior to the start of each trip. (i.e., Once the user books and is picked up by the pilot, the pilot checks the user in. At the point of check in, the trip cost is deducted from the user's wallet.)

3.3 You acknowledge that this Agreement is subject to all applicable statutory taxes, duties, fees, charges, and costs, regardless of their denomination, currently in effect, as well as any future taxes that may be implemented. Furthermore, you agree to exert your best efforts to fulfill all necessary obligations and comply with relevant laws to facilitate, assist, and/or defend Chizzy Ride in claiming or verifying any input tax credit, offset, rebate, or refund related to taxes paid or payable in connection with the Services provided under this Agreement.

3.4 Chizzy Ride cannot be held responsible for any transactions involving passengers and drivers that involve tax-related misconduct.

3.5 Chizzy Ride reserves the right to propose modifications to the fee structure at any given time. In the event of such changes, Chizzy Ride will provide you with reasonable advance notice. By continuing to use the Application and/or the Services after the notice period, you indicate your acceptance of the revised fees.

3.7 Cancellation fees are not applicable for Realtime rides on Chizzy Ride. However, cancellation fees only apply to scheduled rides. If a passenger cancels a scheduled trip within Thirty minutes of the designated departure time, they will incur a penalty of 50% of the total trip cost.

3.8 In cases of 'NO SHOW,' Chizzy Ride will impose a charge of 50% of the trip cost. A 'NO SHOW' occurs when the driver has waited for the passenger at the designated bus stop for a duration of 10 minutes, and the passenger fails to show up. This policy applies to both Realtime and Scheduled rides.

3.9 If users encounter any discrepancies or problems with their payment, they can seek a refund by reaching out to our customer support. The eligibility for a refund will be assessed on a case-by-case basis, taking into consideration the unique circumstances of each situation.

4. License and Restrictions

4.2 Limitations and Restrictions: You are not allowed to copyright, trademark or other proprietary notices from any part of the Services; unless given a written consent to do so by Chizzy Ride.

4.4 You should abstain from any conduct that could possibly damage Chizzy Ride’s reputation or amount to being disparaging or brining Chizzy Ride into disrepute.

5. Intellectual Property

5.1 You acknowledge and agrees that all intellectual property rights, including but not limited to patents, copyrights, trademarks, trade secrets, and any other proprietary rights, in Chizzy Ride app developed by us shall remain the sole and exclusive property of Chizzy Ride.

5.2. You acknowledge that you shall have no right, title, or interest in Chizzy Ride App's intellectual property, except as expressly granted under this Agreement.

6. Restricted Activities

6.2. Chizzy Ride reserves the right to take appropriate actions, including penalty deductions from user’s wallet, institute claims, suspending or terminating the user's account, in the event of a breach of this User Restriction Activities Clauses.

6.3. By using Chizzy Ride's services, the user agrees to abide by these Restricted activities and acknowledges that any violation may result in penalties, account suspension, or legal consequences as determined by Chizzy Ride.

7. Confidentiality

You shall maintain in confidence all information and data relating to Chizzy Ride, its services, products, business affairs, marketing and promotion plans or other operations and its associated companies which are disclosed to you by or on behalf of Chizzy Ride (whether orally or in writing and whether before, on or after the date of this Agreement) or which are otherwise directly or indirectly acquired by you from Chizzy Ride, or any of its affiliated companies, or created in the course of this Agreement.

8. User Data

8.1 You agree and consent to Chizzy Ride using and processing your Personal Data for the purposes and in the manner as identified hereunder.

8.2 For the purposes of this Agreement, “Personal Data” means information about you, from which you are identifiable, including but not limited to your name, identification card number, address, telephone number, credit or debit card details, gender, date of birth, email address, any information about you which you have provided to Chizzy Ride in registration forms, application forms or any other similar forms and/or any information about you that has been or may be collected, stored, used and processed by Chizzy Ride from time to time and includes sensitive Personal Information.

8.3 You agree that Chizzy Ride may send you push notifications and emails, contact you by telephone or text messages (including by an automatic telephone dialing system) at any of the phone numbers provided by you or on your behalf in connection with an Chizzy Ride account, including for marketing purposes.

9. Indemnification

10. Disclaimer of Warranties

10.1. Subject to the application of the Consumer Law and other relevant laws, all conditions, representations, and warranties, whether expressed, implied, statutory, or otherwise, including but not limited to any implied warranty of merchantability, fitness for a specific purpose, or non-infringement of third-party rights, are hereby excluded and disclaimed to the fullest extent permitted by law. Chizzy Ride does not make any representation, warranty, or guarantee regarding the reliability, safety, timeliness, quality, suitability, or availability of any services, including third-party transportation services obtained through the use of the service, application, and/or software.

10.2. The use of the Service, application, and/or the Software may be affected by inherent limitations, delays, and other issues associated with internet usage and electronic communications. These issues may arise due to factors such as faulty devices, lack of connectivity, being out of range, switched off, or malfunctioning. Chizzy Ride disclaims responsibility for any delays, delivery failures, damages, or losses that may occur as a result of such problems.

11. Limitation of Liability

11.1. Regardless of the circumstances, any claims you may have against Chizzy Ride will be limited to the total amount of all payments made by you or owed by you for utilizing the service during the event that gives rise to such claims. UNDER NO CIRCUMSTANCES SHALL Chizzy Ride BE LIABLE TO YOU OR ANYONE ELSE FOR ANY DIRECT, INDIRECT, PUNITIVE, ECONOMIC, ANTICIPATED FUTURE, EXEMPLARY, INCIDENTAL, CONSEQUENTIAL, OR OTHER DAMAGES OR LOSSES OF ANY NATURE (INCLUDING PERSONAL INJURY, EMOTIONAL DISTRESS, LOSS OF DATA, GOODS, REVENUE, PROFITS, USE, OR OTHER ECONOMIC ADVANTAGE).

11.2. Network Access and Devices. You are responsible for obtaining the data network access necessary to use the Services. Your mobile network's data and messaging rates and fees may apply if you access or use the Services from a wireless-enabled device and you shall be responsible for such rates and fees. You are responsible for acquiring and updating compatible hardware or devices necessary to access and use the Services and Applications and any updates thereto. Chizzy Ride does not guarantee that the Services, or any portion thereof, will function on any particular hardware or devices. In addition, the Services may be subject to malfunctions and delays inherent in the use of the Internet and electronic communications.

12. Governing Law and Jurisdiction.

The terms of this Agreement, as well as the rights of both parties involved, including Chizzy Ride, shall be governed by and interpreted in accordance with the Laws of Nigeria.

13. Notice

Chizzy Ride may give notice by means of a general notice on the Application, electronic mail to your email address in the records of Chizzy Ride, or by written communication sent by registered mail or pre-paid post to your address in the record of Chizzy Ride.

14. Assignment

The agreement as constituted by the Terms of Use as modified from time to time may not be assigned by you without the prior written approval of Chizzy Ride but may be assigned without your consent by Chizzy Ride. Any purported assignment by you in violation of this section shall be void.

15. General Provisions

15.1 No waiver of any term of the Agreement shall be deemed a further or continuing waiver of such term or any other term, and any failure to assert any right or provision under the Agreement shall not constitute a waiver of such term. If for any reason a court of competent jurisdiction finds any provision or portion of this Agreement to be unenforceable, then such provision or portion shall be construed, as nearly as possible, to reflect the original provision, and the remainder of the Agreement will continue in full force and effect. The Agreement, and any rights and licenses granted hereunder, may not be transferred or assigned by you, but may be assigned by us without restriction. The section titles in the Agreement are used solely for convenience and have no legal or contractual significance. No provision of the Agreement shall be construed against the owners of this site but rather shall be construed in a neutral and fair manner as terms entered into by a fully-informed party on a voluntary basis. The terms of the Agreement, which by their nature should survive the termination of the Agreement, shall survive such termination. You further acknowledge that by submitting User Submissions or other Content, no confidential, fiduciary, contractually implied or other relationship is created between you and Us other than pursuant to these Terms.

15.2. We may give notice to you by email, a posting on the website, or other reasonable means. You must give notice to us in writing via email or as otherwise expressly provided.

16. Termination

16.1 You are free to terminate your Chizzy Ride account at any time by contacting chizzyride@gmail.com. Please refer to our Privacy Policy as well as the Terms herein, to understand how we treat information you provide to us after you have stopped using our Services.

16.2. Chizzy Ride is also free to terminate/suspend access to your use of the Services or your account, for any reason in our sole discretion, including your breach of these Terms. Chizzy Ride has the sole right to decide whether you are in violation of any of the restrictions set forth in these Terms of use.
